Terms and Conditions of Use

1. Subject and Acceptance

These Terms and Conditions of Use ("Terms") govern access to and use of the Navisnet website (https://navisnet.it) and the software platform of the same name, provided by Digibusiness Srl, registered office at Viale Libertà 10, 43044 Collecchio (PR), Italy, VAT no. IT02184210348 ("Provider").

Use of the site or application implies full acceptance of these Terms. If you do not accept these Terms, you must immediately stop using the service.

2. Description of the Service

Navisnet is a SaaS management software platform dedicated to companies in the yachting sector (shipyards, dealers, brokers), offering, among others, the following features:

  • Boat portfolio management and publication of listings on multichannel portals
  • Advanced CRM for managing contacts, customers and leads
  • Marketing and newsletter tools
  • Management of refit operations and warehouse
  • Integration with yachting portals, Google Workspace, Microsoft 365 and other third-party services

The Provider reserves the right to modify, suspend or discontinue, in whole or in part, the service features, giving reasonable advance notice.

3. Registration and Account

Access to the platform requires the creation of an account. The user undertakes to:

  • Provide truthful, accurate and up-to-date information at registration
  • Keep their access credentials confidential
  • Immediately notify the Provider of any unauthorised access to their account
  • Not transfer or share credentials with unauthorised parties

The Provider is not liable for damages arising from the unauthorised use of the user's credentials.

4. User Obligations and Responsibilities

The user undertakes to use the platform in compliance with applicable law and these Terms. In particular, it is forbidden to:

  • Use the platform for illegal or unauthorised purposes
  • Upload content that infringes third-party rights, privacy laws or applicable regulations
  • Attempt to access restricted areas or unauthorised systems
  • Interfere with the proper functioning of the platform or servers
  • Use the platform for spam, phishing or other fraudulent activities
  • Reverse engineer, decompile or attempt to extract the source code

5. End-User Data on the Platform

The user companies (shipyards, dealers, brokers) that use Navisnet as a CRM tool are the controllers of the personal data of their final customers entered into the platform.

The Provider acts as Data Processor pursuant to art. 28 GDPR. Specific data-processing terms are governed by the Data Processing Agreement (DPA) attached to the service contract.

The user warrants that they have obtained all necessary authorisations for transferring personal data to the Provider.

6. Service Levels and Availability

The Provider undertakes to guarantee platform availability for 99% of the time on a monthly basis ("guaranteed uptime"), except for scheduled maintenance, force majeure or events outside the Provider's reasonable control.

Scheduled maintenance will be communicated at least 24 hours in advance, where possible.

7. Intellectual Property

All content on Navisnet is the exclusive property of Digibusiness Srl or its respective licensors and is protected by applicable intellectual property laws.

The user acquires no ownership rights to the platform's content or software. Only a personal, non-exclusive, non-transferable usage licence is granted, limited to using the platform for the purposes set out in these Terms.

8. Prices and Payments

Access to Navisnet's paid plans is subject to the rates indicated in the commercial offer accepted by the user. The Provider reserves the right to modify prices with at least 30 days' notice.

In the event of non-payment, the Provider reserves the right to suspend or terminate access to the service.

9. Limitation of Liability

To the extent permitted by applicable law, the Provider is not liable for:

  • Data loss or service interruptions caused by force majeure, cyber-attacks or failures of third-party suppliers
  • Indirect, incidental, special or consequential damages arising from the use or inability to use the service
  • Content uploaded by users onto the platform
  • Malfunctions of third-party services integrated with the platform

The Provider's overall liability towards the user shall in any case not exceed the amount paid by the user in the 12 months preceding the event.

10. Duration and Termination

The usage agreement has the duration subscribed in the commercial plan. Each party may withdraw with 30 days' written notice, unless otherwise stated in the specific contract.

The Provider may immediately suspend or terminate access in case of a serious breach of these Terms.

11. Changes to the Terms

The Provider reserves the right to modify these Terms at any time. Changes will be communicated by email to the registered address and/or by notice on the platform. Users who continue to use the service after the effective date of the changes accept the new Terms.

12. Applicable Law and Jurisdiction

These Terms are governed by Italian law. For any dispute arising from these Terms or the use of the platform, the Court of Parma has exclusive jurisdiction, save for any mandatory provision of law.
